PURPOSE
These Terms and Conditions govern access to and use of the Void2Value platform, which connects customers wishing to transport goods ("Customers") with independent transport service providers ("Carriers").
By creating an account, booking a journey or accepting a transport request, the user agrees to these Terms and Conditions.
ROLE OF THE PLATFORM
Void2Value operates solely as an intermediary facilitating contact, bookings and payments between Customers and independent Carriers.
Unless expressly stated otherwise, the Platform:
- does not perform the transport service;
- does not employ, direct or control the Carriers;
- does not take possession of the goods;
- is not a party to the transport contract entered into between the Customer and the Carrier.
Each Carrier is solely responsible for performing the accepted transport service in accordance with applicable laws and professional requirements.
USER ACCOUNTS
Users must provide complete, accurate and up-to-date information. They are responsible for maintaining the confidentiality of their login credentials and for all activity carried out through their accounts.
Carriers must hold all licences, authorisations, insurance policies and qualifications required to perform their services legally.
BOOKING AND TRANSPORT INFORMATION
The Customer must provide accurate information about:
- the collection and delivery addresses if applicable;
- the nature, quantity, weight and dimensions of the goods;
- any special handling or storage requirements;
- the declared value of the goods;
- any known risks associated with the goods.
The Carrier may refuse to collect goods that do not correspond to the booking information, are improperly packaged, are prohibited by law or may endanger persons, vehicles or other goods.
JOURNEY TIMES AND DELAYS
Collection times, delivery times, journey durations and estimated arrival times displayed on the Platform are indicative only and do not constitute guaranteed deadlines.
To the fullest extent permitted by applicable law, the Platform shall not be liable for delays, missed collection or delivery times, extended journey durations or any direct or indirect loss arising from such delays where they result from the Carrier's actions or from circumstances beyond the Platform's reasonable control.
Such circumstances may include traffic conditions, accidents, weather, road closures, border or customs checks, mechanical failure, strikes, incorrect information supplied by a user, force majeure or instructions given by public authorities.
Nothing in this clause excludes liability that cannot legally be excluded or liability resulting directly from the Platform's own proven fault.
PACKAGING AND CONDITION OF GOODS
The Customer is solely responsible for ensuring that goods are properly packed, protected, labelled and suitable for the agreed method of transport.
Before departure, the Customer and the Carrier should jointly inspect the goods and record their apparent condition through photographs, a collection receipt or the Platform's digital confirmation system.
Unless otherwise required by applicable law, the Platform shall not be liable for any loss, theft, breakage, deterioration or damage affecting the goods during loading, transport, unloading or delivery where the goods are under the Carrier's custody or control.
Any claim relating to damaged or missing goods must be made directly against the Carrier and, where applicable, the Carrier's insurer.
This limitation does not apply to damage resulting directly from the Platform's own proven fault, fraud, wilful misconduct or any liability that cannot be excluded under applicable law.
PROHIBITED GOODS
Users may not use the Platform to arrange the transport of illegal, stolen, hazardous or undeclared goods, including weapons, explosives, illegal substances, live animals, human remains or any goods whose transport requires an authorisation not held by the Carrier.
The Customer shall be responsible for all consequences resulting from false, incomplete or misleading information concerning the goods.
PAYMENT AND ESCROW ARRANGEMENT
When making a booking request, the Customer authorises on their payment card the full amount shown on the Platform, including the transport price, applicable service fees and taxes. That amount is only charged when the Carrier accepts the request; if the Carrier declines it or does not answer within the time allowed, the authorisation is released and no amount is charged. Where a booking does not require the Carrier's acceptance, the amount is charged at the time of booking.
The payment shall be collected and held temporarily under an escrow or safeguarded-payment arrangement operated by an authorised payment service provider identified during the booking process.
The payment shall not be released to the Carrier solely because a booking has been created.
The funds due to the Carrier, after deduction of any agreed Platform fees, shall be released when:
- the Carrier has arrived at the agreed collection location;
- the Carrier has physically received the goods; and
- collection has been confirmed through the Platform by a signature, collection code, photograph, electronic confirmation or other approved evidence.
This confirmation constitutes authorisation to release the Carrier's payment at departure. The time at which the funds appear in the Carrier's bank account may depend on the payment provider and banking processing times.
If the Carrier refuses the goods because they do not correspond to the booking or cannot legally or safely be transported, the funds shall remain on hold until the booking is cancelled or the dispute is resolved in accordance with these Terms.
The Platform may delay or suspend payment in the event of suspected fraud, manifest error, unlawful activity, a payment-provider requirement or a binding request from a competent authority.
CANCELLATION AND REFUNDS
Any cancellation must be made through the Platform.
As long as the Carrier has not accepted the booking request, the Customer may cancel it free of charge: no amount is charged and the payment authorisation placed on their card is released. The same applies, for a booking that does not require the Carrier's acceptance, until payment has been made.
After the Carrier has accepted the request — or, for a booking that does not require their acceptance, after payment — and until the goods are collected, a cancellation by the Customer is governed by the cancellation policy displayed before the booking was confirmed and attached to that booking, published on the Platform's "Cancellation policy" page. A later change to that policy has no effect on bookings already confirmed. Under that policy:
- the amount refunded to the Customer depends on the time remaining before departure at the moment of cancellation, and may be partial or nil;
- a management fee may be withheld from the refund, never exceeding the amount refunded;
- part of the amount not refunded may be paid to the Carrier;
- the Customer can no longer cancel during the period before departure stated in that policy.
If the Carrier cancels a booking before collecting the goods, the Customer is refunded the full amount paid, free of charge.
Once the goods have been collected by the Carrier, the booking can no longer be cancelled. Any issue is then governed by the "Claims and evidence" clause of these Terms, and the agreed transport price may remain payable.
The Platform may also cancel a booking, in particular in the event of a breach of these Terms, suspected fraud or where the transport cannot be performed. It then determines the amount refunded to the Customer and, where applicable, the share paid to the Carrier.
Refunds are made to the payment method used for the booking.
INSURANCE
Carriers must maintain adequate professional and cargo liability insurance for the services they provide.
Customers are responsible for checking the Carrier's insurance coverage and determining whether additional insurance is required, particularly for fragile or high-value goods.
The Platform does not provide insurance unless an insurance option is expressly offered and purchased during the booking process.
CLAIMS AND EVIDENCE
Any visible damage or shortage should be recorded at collection or delivery through photographs and written reservations.
Claims concerning the transport service must be submitted to the Carrier within the period required by applicable law. The Platform may assist the parties by providing booking records and communications but is not responsible for deciding liability between them.
LIMITATION OF THE PLATFORM'S LIABILITY
To the fullest extent permitted by applicable law, the Platform shall not be liable for:
- the Carrier's acts, omissions or conduct;
- journey times or transport delays;
- loss of or damage to goods while under the Carrier's custody;
- indirect losses, including loss of profit, revenue, opportunity or business;
- inaccurate information provided by a Customer or Carrier;
- events outside the Platform's reasonable control.
Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, gross negligence, death or personal injury where such liability cannot legally be excluded, or any other mandatory statutory liability.
SUSPENSION AND TERMINATION
The Platform may suspend or terminate an account where a user breaches these Terms, creates a safety or fraud risk, misuses the payment system or repeatedly receives substantiated complaints.
Where reasonably possible, the user shall be informed of the reason for the suspension or termination.
PERSONAL DATA
Personal data shall be processed in accordance with the Platform's Privacy Policy and applicable data-protection laws.
Users acknowledge that information necessary to perform the transport service may be shared between the Customer, Carrier, payment provider, insurer and competent authorities.
GOVERNING LAW AND DISPUTES
These Terms shall be governed by the laws of France.
The parties shall first attempt to resolve any dispute amicably via the chat or by contacting support@void2value.com. Any mandatory consumer mediation or consumer-protection rights shall remain unaffected.
Subject to mandatory legal rules, the courts of France shall have jurisdiction over disputes arising from these Terms.
GENERAL PROVISIONS
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in effect.
The Platform's failure to enforce a provision shall not constitute a waiver of its rights.
The version accepted by the user at the time of booking shall apply to that booking.
